Celsius Holdings, Inc. (NASDAQ: CELH), closed its previously announced public offering of 7,391,408 shares of common stock, consisting of 6,257,455 shares of common stock offered by certain selling stockholders of Celsius (the "Selling Stockholders") and 1,133,953 shares of common stock offered by Celsius at a public offering price of $62.50 per share. The underwriters partially exercised their option to purchase 873,141 shares of the company's common stock, 133,953 of which were sold by the company and 739,188 of which were sold by certain of the Selling Stockholders. The offering generated gross proceeds to Celsius of $70.8 million and $391.1 million for the Selling Stockholders.
Celsius will not receive any proceeds from the sale of the shares by the Selling Stockholders and intends to use the net proceeds received by it from the offering for general corporate purposes. The public offering is being made pursuant to an automatic shelf registration statement on Form S-3, which was filed with the Securities and Exchange Commission (the "SEC") on June 9, 2021, and became automatically effective upon filing.
The public offering is being made only by means of a prospectus supplement and accompanying prospectus.
