Helius Medical Technologies, Inc. (Nasdaq: HSDT) (TSX: HSM) announced underwritten public offering of 1,385,031 shares of its Class A common stock at a price to the public of $8.00 per share, for gross proceeds of approximately $11.1 million, including the full exercise of the underwriter's over-allotment option to purchase additional shares of common stock, prior to deducting underwriting discounts and commissions and offering expenses payable by the Company.
The Company intends to use the net proceeds from this proposed offering for funding operations, working capital and other general corporate purposes.
The shares will be issued pursuant to a shelf registration statement on Form S-3 (File No. 333-236101) that was declared effective by the U.S. Securities and Exchange Commission ("SEC"), on February 6, 2020. The Company will file a final prospectus supplement with the SEC relating to such shares of common stock.
